1. Agreement to Terms

By accessing or using the website at urbanflow.work(the "Site") and any services, products, or applications provided by UrbanFlow Work ("UrbanFlow," "we," "us," or "our"), collectively the "Services," you agree to be bound by these Terms & Conditions (the "Terms").

If you do not agree to all of these Terms, you must not access or use our Services. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

UrbanFlow Work provides the following services:

• Custom website and web application development
• Mobile application development (iOS and Android)
• Cloud infrastructure setup and configuration (using Firebase, Cloudflare, Google Cloud, Supabase, and similar platforms)
• Digital products including software applications (e.g., Niyaz Mocks, RankTracker)
• Educational content including online courses (e.g., AI Masterclass)
• Free website audit and review services

The specific scope, deliverables, timeline, and pricing for any commissioned project will be defined in a separate project proposal or agreement between you and UrbanFlow Work.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our Services or enter into any agreement with us. By using our Services, you represent and warrant that you meet this requirement.

4. User Accounts

Certain Services may require you to create an account. You are responsible for:

• Providing accurate and complete information during registration
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Pricing & Payment

5.1 Project-Based Services

Our custom development services are priced on a one-time project basis. The total price is agreed upon before work begins and is outlined in your project proposal. Unless otherwise stated, prices do not include applicable taxes, duties, or government-imposed fees.

5.2 Payment Terms

• A deposit may be required before work begins, as specified in your project proposal
• Final payment is due upon project completion and delivery
• We accept payment methods as communicated during the project engagement
• Late payments may incur additional fees as outlined in your project proposal

5.3 Hosting & Infrastructure Costs

We build on enterprise-grade platforms (such as Firebase, Cloudflare, and Supabase) that offer generous free tiers. While we structure your project to operate within these free tiers wherever possible, you are responsible for any third-party hosting, domain, or infrastructure costs that exceed free-tier limits or that are incurred from third-party services you choose to use.

5.4 Digital Products & Courses

Pricing for digital products and educational courses is listed on the relevant product pages. All prices are in the currency displayed at the time of purchase.

5.5 Refund Policy

Due to the custom nature of our development services, refunds are generally not available once work has commenced. However:

• If we are unable to deliver the agreed-upon project, you will receive a full refund of any amounts paid
• For digital products and courses, refund requests may be considered within 7 days of purchase if you have not substantially used the product. Please contact us to discuss
• Refunds, where applicable, will be processed within 14 business days

6. Intellectual Property

6.1 Your Project Deliverables

Upon full payment, you own 100% of the custom code, designs, content, and deliverables created specifically for your project. This includes the source code, database schemas, and custom assets we create for you. We believe you should own what you pay for.

6.2 Pre-Existing & Third-Party Materials

Certain components may include pre-existing code, open-source libraries, or third-party tools that are subject to their own licenses (e.g., MIT, Apache 2.0). We will disclose any such third-party components used in your project. Your use of these components is subject to their respective licenses.

6.3 UrbanFlow Work Property

All content on the UrbanFlow Work website — including text, graphics, logos, icons, images, and software — is the property of UrbanFlow Work and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our website content without our prior written consent.

6.4 Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio, case studies, and marketing materials. We will not disclose confidential business information without your consent.

7. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights of any third party
• Transmit malware, viruses, or any other harmful code
• Engage in unauthorized access to our systems or networks
• Send spam, unsolicited communications, or phishing content
• Harass, abuse, or harm other individuals
• Interfere with or disrupt the integrity or performance of our Services
• Scrape, crawl, or otherwise extract data from our Site in an automated manner without permission
• Build anything illegal, fraudulent, or harmful using our services

We reserve the right to refuse service or terminate access for any user who violates these terms.

8. Disclaimers

8.1 "As Is" Basis

OUR SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Results

While we build high-quality digital products designed to grow your business, we do not guarantee specific business outcomes, revenue increases, search engine rankings, or traffic numbers. Results depend on many factors outside our control.

8.3 Third-Party Services

Our Services rely on third-party platforms (e.g., Firebase, Cloudflare, Google Cloud). We are not responsible for outages, data loss, pricing changes, or policy changes implemented by these third-party providers.

8.4 Free Audits & Estimates

Any free website audits, cost estimates, or consultations provided through our Site are for informational purposes only and do not constitute professional advice or a binding quote.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URBANFLOW WORK, ITS FOUNDER, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• ANY DAMAGES ARISING FROM THE USE OR INABILITY TO USE OUR SERVICES

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless UrbanFlow Work and its founder, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide to us for inclusion in your project

11. Project-Specific Terms

11.1 Client Responsibilities

For commissioned projects, you agree to:

• Provide all necessary content, assets, and information in a timely manner
• Respond to communications and review requests within reasonable timeframes
• Ensure that all content you provide does not infringe on any third-party rights
• Test and approve deliverables within the agreed-upon review period

11.2 Delivery & Revisions

Delivery timelines are estimates and may vary based on project complexity and your responsiveness during the review process. The number of revision rounds included in the project price will be specified in your project proposal. Additional revisions beyond the included rounds may incur extra charges.

11.3 Project Cancellation

If you wish to cancel a project after work has commenced, you will be responsible for payment of all work completed up to the date of cancellation. Any deposited funds for uncompleted work may be refunded at our discretion, minus costs already incurred.

12. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Services will immediately cease
• Any provisions of these Terms that by their nature should survive termination will survive (including ownership, disclaimers, indemnification, and limitations of liability)
• For project-based work, termination does not affect your ownership rights to deliverables for which you have already paid in full

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which UrbanFlow Work operates, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue binding arbitration or litigation in the appropriate courts.

For consumers in the European Union, you retain the right to bring a claim in the courts of your country of residence and to use the EU Online Dispute Resolution platform at https://ec.europa.eu/odr.

Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws of your jurisdiction.

14. Electronic Communications

By using our Services, you consent to receive electronic communications from us (e.g., emails, notifications). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email or by contacting us directly. Opting out of marketing communications does not affect transactional or service-related communications.

15. Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and UrbanFlow Work regarding your use of our Services. Any project-specific agreement or proposal shall take precedence over these general Terms in the event of a conflict, but only with respect to the specific project covered by that agreement.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For material changes that affect your rights, we will provide notice through our Site or via email where feasible.

Your continued use of the Services after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Services.
